Before anyone decides this is urgent, understand what a registered agent is doing in New York. There is one agent your LLC cannot fire, and you never hired it: the Secretary of State holds the process-agent role for every limited liability company organized in this state, permanently, by statute. A private agent is an addition, not a substitute. So a lapsed Bizee bundle does not put your company in jeopardy the way a lapsed agent does in most other states. Nothing gets forfeited, no authority gets revoked, and the state keeps accepting service exactly as before.

What actually changes is speed and privacy. Miss the transition and papers stop flowing through a channel you control and start flowing through the mail, to an address in a public database. That is a real downgrade, and it is worth $99 to avoid. It is not, however, an emergency, and we would rather you switch calmly than switch scared.

What the $99 Buys, Stated Plainly

Dropping Bizee From a New York File, Briefly

One filing does it: the Certificate of Change, form DOS-1359-f, $30, filed with the New York Department of State. Line up the replacement before you send it, since Bizee stays on the record until the state processes the paperwork, and your delivery channel should never point at a vendor you have stopped paying. One clarification while you are budgeting, because the internet gets this wrong constantly. A $5 fee does exist in New York, under LLC Law § 211-A(b), but it attaches to a narrow certificate the agent files to correct address details. When your company changes its own agent, the fee is $30. Plan for thirty and you will not be surprised at the counter.
