New York Registered Agent Requirements: Rules, Address, and Statute

New York writes its registered agent rules differently than the other 49 states, and the difference starts with a surprise: your LLC already has an agent for service of process whether you appointed one or not. The Statute: LLC Law § 301 and § 302
Two sections do the work. Under LLC Law § 301, the Secretary of State is the agent for service of process for every New York LLC. That designation is automatic, mandatory, and permanent.
LLC Law § 302 then makes a registered agent optional. The statute says an LLC "may designate" a registered agent, which is very different from the shall-maintain language most states use. In New York, the registered agent is a choice layered on top of the Secretary of State's built-in role. State materials use the phrase agent for service of process for that built-in role, so you will run into both terms.
Who Can Serve as a New York Registered Agent
Section 302(b) sets out the eligible categories:
- A natural person who resides in New York or keeps a business address in New York
- A domestic LLC, or a foreign LLC authorized to do business in New York
- A domestic corporation, or a foreign corporation authorized to do business in New York
If the agent you have in mind does not fit one of those boxes, the state will not accept the designation.

Notice what New York does not require: a registered office. Because the Secretary of State is every LLC's process agent by law, the state never needs a separate registered office on file the way most states do.

The publication requirement. LLC Law § 206 requires new LLCs to publish formation notices in two county-clerk-designated newspapers for six consecutive weeks within 120 days, then file a Certificate of Publication with its $50 fee. Local newspaper rates vary a great deal by county.
